1. Introduction

These Terms and Conditions (“Agreement”) explain how Dev Chakra Associates, a law firm in Nepal, will provide legal services to you and your clients. By using our services, you agree to follow these terms.

If you do not agree with these Terms, do not use our services.

2. Services We Offer

We offer legal services like:

• Giving legal advice
• Representing you in court or other legal matters
• Writing legal documents (contracts, agreements, etc.)
• Business-related legal services
• Other services as agreed

We provide these services according to Nepal’s laws.

3. How We Work Together

3.1 Engagement: When you hire us, you agree to let us provide legal services for you. This can be confirmed by signing a retainer agreement or asking for our services.

3.2 Retainer Fees: Before we begin, we may ask for an upfront payment, which will be used for the services we provide. If there is any unused money, we may refund it.

3.3 Other Costs: You may need to pay for other costs (like court fees, expert fees, travel, etc.) related to your case. These will be charged separately.

4. Confidentiality

4.1 Your Information: We respect your privacy and will keep your information confidential. We will not share your personal or legal details with anyone unless required by law or with your permission.

4.2 Legal Privilege: Some of our communication with you may be protected by legal privilege, meaning it cannot be shared without your permission. However, in some situations, this protection may not apply.

5. Fees and Payment

5.1 Hourly Rates: We generally charge by the hour for our work. We will discuss and agree on the rate before we start.

5.2 Flat Fees: For some cases, we may offer a fixed (flat) fee. If this applies, we will explain the fee in a separate agreement.

5.3 Payment Terms: We will send you invoices for the work we do. You must pay within [insert number of days] days of receiving the invoice. If you are late, we may charge interest.

6. Liability

6.1 Our Responsibility: We will provide quality legal services, but we are not responsible for any unexpected or indirect damage that may happen as a result of our work.

6.2 Force Majeure: We are not responsible for delays or failure to provide services due to events beyond our control (like natural disasters or strikes).

7. Ending Our Services

7.1 Ending by You: You can end our services at any time by letting us know in writing. However, you will still need to pay for any work done up until that point.

7.2 Ending by Us: We may stop working for you if you do not follow these terms, if there is a conflict of interest, or for other valid reasons.

8. Conflicts of Interest

We will try to avoid situations where we may have a conflict of interest. If such a situation comes up, we will inform you and may need to stop representing you.

9. Indemnification

You agree to protect us from any claims, damages, or costs that arise from using our services, except if caused by our mistake or misconduct.

10. Governing Law and Disputes

10.1 Governing Law: These terms are governed by the laws of Nepal.

10.2 Dispute Resolution: If a dispute arises, we will first try to resolve it through mediation. If that doesn’t work, we will resolve the matter by arbitration in Kathmandu, Nepal, under Nepal’s Arbitration Act.

11. Changes to These Terms

We may update these terms from time to time. If we do, we will notify you, and by continuing to use our services, you agree to the updated terms.

12. Miscellaneous

12.1 Full Agreement: These Terms represent the full agreement between you and us. If any part of the agreement is found to be invalid, the rest will still apply.

12.2 No Waiver: If we do not enforce any part of these Terms, it does not mean we give up the right to enforce it in the future.
